1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of CodiQR and its services.

By accessing CodiQR, creating an account, purchasing a QR Code, subscribing to a plan, or otherwise using the platform, you agree to these Terms.

If you do not agree to these Terms, you should not use CodiQR.

2. Eligibility and Your Account

You are responsible for providing accurate information when creating and maintaining your CodiQR account.

You are responsible for maintaining the confidentiality of your login credentials and for activity carried out through your account.

You must notify CodiQR if you believe your account has been accessed or used without your permission.

You may not use another person's account without permission.

You must be legally capable of entering into an agreement under the laws applicable to you.

3. CodiQR Dynamic QR Codes

CodiQR provides Dynamic QR Codes.

A Dynamic QR Code generally directs a scan through CodiQR's redirect infrastructure before sending the person scanning the code to the destination configured by the QR Code owner.

This allows supported QR Codes to provide functionality such as:

  • changing a destination without reprinting the QR Code
  • scan analytics
  • QR management
  • activation and pausing
  • other features made available by CodiQR

A Dynamic QR Code may require an active Pay Once hosting period, active subscription, promotional period, or other valid entitlement in order to remain operational.

4. Pay Once QR Codes

Where CodiQR offers a Pay Once option, the user purchases access to a Dynamic QR Code for the hosting period displayed at the time of purchase.

The applicable price, included features and hosting duration will be shown before payment.

Unless specifically stated otherwise, Pay Once does not create a recurring subscription.

When the applicable hosting period ends, the QR Code may be paused or become unavailable unless it is renewed or otherwise reactivated through an available CodiQR plan or purchase option.

CodiQR may provide renewal options before or after the hosting period ends.

5. Subscription Plans

CodiQR may offer recurring subscription plans providing access to a specified number of active Dynamic QR Codes and other features.

The applicable:

  • price
  • billing frequency
  • QR Code allowance
  • features
  • limits

will be displayed when the user subscribes.

QR Codes covered by an active subscription do not require individual expiry dates merely because time has passed, provided that the subscription remains active and the QR Code remains within the applicable plan limits and complies with these Terms.

Users may upgrade, downgrade or cancel subscriptions where those options are made available by CodiQR.

Changes may take effect immediately or at the end of the current billing period depending on the type of change and information presented to the user.

6. Subscription Lapse, Grace Period and Paused QR Codes

If a subscription payment fails, expires, is cancelled, or the subscription otherwise becomes inactive, CodiQR may provide a grace period before subscription-based QR Codes are paused.

Where CodiQR's current seven-day grace period applies, affected QR Codes may continue operating during that grace period.

If the subscription is not successfully restored within the applicable grace period, affected QR Codes may be paused.

When a QR Code is paused, people scanning that code may be directed to a neutral CodiQR unavailable page rather than the QR Code owner's previous destination.

The public unavailable page will not intentionally disclose the QR Code owner's private billing, payment or subscription information.

Where supported, restoring an eligible subscription may reactivate the affected QR Codes.

CodiQR may retain QR configuration, destination and historical analytics information for a reasonable period after a subscription lapses so that eligible QR Codes can be restored if the subscription is renewed.

7. Free and Promotional QR Codes

CodiQR may occasionally provide free, trial or promotional Dynamic QR Codes.

Promotional QR Codes may have different conditions from paid QR Codes, including:

  • limited validity periods
  • limited features
  • campaign-specific designs
  • usage limits
  • restrictions on the number available per person or device
  • different renewal or conversion options

The conditions displayed as part of a promotion form part of these Terms for that promotional QR Code.

For example, where an offer states that a promotional QR Code is valid for 30 days, the QR Code may automatically become unavailable at the end of that 30-day period.

Promotional QR Codes do not create an entitlement to permanent free hosting.

CodiQR may take reasonable measures to prevent automated abuse or repeated exploitation of promotional offers.

8. Acceptable Use

You may not use CodiQR or a CodiQR Dynamic QR Code for unlawful, fraudulent, harmful, abusive or deceptive purposes.

This includes using CodiQR to direct people to content involving:

  • malware or malicious software
  • phishing
  • fraud or impersonation
  • unlawful goods or services
  • content that infringes intellectual property rights
  • material that unlawfully violates another person's privacy
  • deceptive destinations intended to mislead people scanning a QR Code

You are responsible for the destination and content associated with your QR Codes.

CodiQR may pause, restrict or disable a QR Code or account where we reasonably believe it violates these Terms, applicable law, security requirements or the rights of others.

9. Destination URLs and Third-Party Services

CodiQR allows users to direct Dynamic QR Codes to websites and other destinations that may be operated by third parties.

CodiQR does not control third-party websites or services and is not responsible for their content, availability, security, privacy practices or actions.

You are responsible for ensuring that you have the necessary rights and permissions to use the destination associated with your QR Code.

Changing a Dynamic QR Code's destination does not remove your responsibility for the new destination.

10. Scans and Analytics

CodiQR may collect and process scan-related information in order to provide QR analytics and operate the service.

Depending on the available technology and applicable privacy requirements, analytics may include information such as:

  • scan counts
  • date and time
  • approximate location
  • device type
  • browser
  • operating system
  • other technical information associated with a scan

Analytics are intended to provide useful insights but may not represent every scan perfectly.

CodiQR does not guarantee that:

  • every scan will be recorded
  • every scan represents a unique person
  • geographic information will always be precise
  • device or browser information will always be correctly identified

Use of scan-related information is also subject to the CodiQR Privacy Policy.

11. Payments

Paid CodiQR products may include:

  • Pay Once purchases
  • subscription plans
  • renewals
  • other paid services displayed on the platform

Payments are processed through CodiQR's supported payment provider.

The price and currency applicable to a transaction will be displayed before payment is completed.

Users are responsible for ensuring that the payment information they provide to the payment provider is accurate and authorised.

CodiQR does not require users to provide payment information for offers explicitly advertised as free and requiring no payment.

12. Subscription Renewal and Cancellation

Recurring subscriptions may renew according to the billing frequency and terms displayed when the subscription is purchased.

Users may cancel recurring subscriptions using the cancellation functionality provided by CodiQR where available.

Cancelling a subscription prevents future renewal in accordance with the applicable billing terms but does not necessarily immediately delete the user's QR Codes or historical data.

QR Codes dependent on the subscription may remain active until the end of the paid period and any applicable grace period, after which they may be paused.

13. Refunds

Refund requests will be considered in accordance with applicable law, including applicable South African consumer protection requirements where relevant.

Nothing in these Terms is intended to exclude or limit any consumer right that cannot lawfully be excluded or limited.

Where a refund is not required by law, eligibility may depend on the circumstances of the purchase and the extent to which the service has already been provided.

14. QR Code Reliability

CodiQR provides design and customisation tools intended to help users create functional QR Codes.

However, QR Code scanning can be affected by factors outside CodiQR's control, including:

  • print quality
  • printing size
  • physical damage
  • colour contrast
  • lighting
  • camera quality
  • placement
  • materials
  • modifications made after download

Users should test downloaded QR Codes before mass printing, publishing or distributing them.

CodiQR cannot guarantee successful scanning in every environment, device or physical application.

15. Service Availability

CodiQR aims to provide a reliable service but does not guarantee uninterrupted or error-free availability.

The service may occasionally be unavailable due to:

  • maintenance
  • technical failures
  • hosting or infrastructure issues
  • third-party service interruptions
  • security incidents
  • circumstances beyond CodiQR's reasonable control

Where reasonably possible, CodiQR will work to restore affected services.

16. User Content

You retain ownership of content, logos, URLs and other material you provide to CodiQR, subject to any rights held by third parties.

You grant CodiQR the limited rights necessary to process, display, store and use that content solely as required to provide and operate the service.

You are responsible for ensuring that you have permission to use content you upload or associate with a QR Code.

17. CodiQR Intellectual Property

CodiQR retains all rights in the CodiQR platform and its original intellectual property, including where applicable:

  • software
  • interface design
  • branding
  • logos
  • graphics
  • Codi mascot/assistant
  • original platform content

These Terms do not transfer ownership of CodiQR intellectual property to users.

18. Suspension and Termination

CodiQR may suspend or restrict access to an account or QR Code where reasonably necessary to:

  • enforce these Terms
  • respond to unlawful activity
  • prevent fraud or abuse
  • protect users or third parties
  • address security threats
  • comply with legal obligations

Where appropriate and reasonably possible, CodiQR may provide notice or an opportunity to resolve the issue.

Serious violations may result in immediate suspension.

19. Privacy

Use of CodiQR is also subject to the CodiQR Privacy Policy.

The Privacy Policy explains how personal information and relevant service data are collected, used, stored and otherwise processed.

20. Disclaimer

CodiQR is provided on an "as is" and "as available" basis to the extent permitted by applicable law.

CodiQR does not guarantee that the platform will meet every user's particular requirements or that all features will always be available without interruption.

Nothing in these Terms excludes warranties, rights or protections that cannot legally be excluded.

21. Limitation of Liability

To the maximum extent permitted by applicable law, CodiQR will not be liable for indirect, incidental, special or consequential losses resulting from use of or inability to use the service.

This may include losses arising from:

  • unavailable QR Codes
  • third-party destination failures
  • unsuccessful scans
  • lost business opportunities
  • interruption of service

Nothing in these Terms limits liability where doing so would be prohibited by applicable law.

22. Changes to CodiQR

CodiQR may improve, modify, add or discontinue features as the platform develops.

We will aim to avoid unnecessarily disrupting existing paid services.

Where a material change significantly affects an existing paid service, CodiQR may provide appropriate notice where reasonably required.

23. Changes to These Terms

These Terms may be updated from time to time to reflect:

  • new CodiQR features
  • changes to pricing or plans
  • legal requirements
  • security requirements
  • operational changes

The current version and "Last updated" date will be published on this page.

Where appropriate, material changes may also be communicated through CodiQR or by email.

Continued use of CodiQR after updated Terms take effect constitutes acceptance to the extent permitted by applicable law.

24. Governing Law

These Terms are governed by the laws of the Republic of South Africa, subject to any mandatory consumer protections or other rights that apply.

Nothing in these Terms is intended to prevent a consumer from exercising rights or remedies available under applicable South African law.
